Social Contest Rules

1) Sponsorship: The Ori Experience Studio Contest (the “Contest”) sponsor is Ori, Inc. (“Ori” or the “Sponsor”), located at 12 Channel Street, Suite 202, Boston, MA 02210. Sponsor will conduct the Contest as described in these Social Contest Rules (the “Rules”).

2) Eligibility: The Contest is open to legal residents of the New York Metro Area (i.e., ZIP codes selected by Ori) who sign up on the Instagram post.. Entrants (“you” or “your”) must be 21+ as of their date of entry in this promotion in order to qualify. This Contest is subject to federal, state, and local laws and regulations and void where prohibited by law. Employees of Ori, its subsidiaries, affiliates, suppliers, partners, advertising and promotion agencies, and Ori’s directors (collectively the “Employees”), as well as members of an Employees' immediate family and/or those living in the same household of Employees are ineligible to participate in the Contest. 

3) Applicability of Rules: By entering this Contest, you agree to abide by the Rules and the Sponsor’s decisions, which are fully and unconditionally binding in all respects. Ori reserves the right to refuse, withdraw, or disqualify any entry at any time at Ori’s sole discretion. By entering this Contest, you represent and warrant that you are eligible to participate based on eligibility requirements set forth in the Rules. You also agree to accept the decisions of Ori as final and binding in the interpretation and application of the Rules and in all other respects in connection with the Contest.

4) Contest Entry Period: This Contest begins on Nov 4, 2021 at 9am ET and ends on Nov 11, 2021 at 11:59 ET (the “Entry Period”). To be eligible for the Contest, entries must be received within the specified Entry Period.

5) How to Enter: Eligible entrants can enter the Contest by submitting an entry as specified in Section 2 of these Rules. Your entry must fully meet all Contest requirements, as specified in the Rules, in order for you to be eligible to win a prize. Incomplete entries or those that do not adhere to the Rules or specifications will be disqualified at Ori’s sole discretion. Additional specific eligibility requirements are as follows:

  • You may only enter once;
  • To enter, you must:
    • “like” the initial Instagram post
    • Follow @oriliving
    • Tag another Instagram account and respond to the question: “What would you do with more space?”

6) Prizes: The winner of the Contest (the “Winner”) will receive the prize indicated below. The actual/appraised prize value may differ at the time the prize is awarded. The prize shall be determined solely by the Sponsor. There shall be no cash or other prize substitution permitted except at the Sponsor’s discretion. The Winner, upon acceptance of the prize, is solely responsible for all expenses related to the prize, including without limitation any and all local, state, and federal taxes. The Winner shall not transfer or assign the prize to others nor shall the Winner request the cash equivalent or prize substitution. By accepting the prize, the selected Winner grants permission for the Sponsor to use the Winner’s name, image and likeness for purposes of advertising and trade without further compensation unless prohibited by law.  The Winner must provide the Sponsor with a valid Social Security number or taxpayer identification number before the Sponsor can award the prize.

  • A two-night stay at Ori’s Experience Studio, located in The Eugene, Apartment 54J, 435 W 31st St., New York, NY 10001;
  • Prize value is $500.

7) Odds: The total number of eligible entries received determines the odds of winning.

8) Selection and Notification of Winner: The Winner will be selected by a random drawing under the supervision of the Sponsor. The Sponsor will notify the Winner in the manner specified below within the time period specified below. The Sponsor is not responsible for nor shall have no liability for Winner’s failure to receive notices due to security settings that may cause notifications to be marked as spam or junk email as unknown messages, or for any other reason. Nor shall the Sponsor be liable for the Winner’s provision of incorrect or otherwise non-functioning contact information. If the Winner (i) fails to claim the prize within the timeframe specified in the notification, (ii) is found to be ineligible, or (iii) does not complete and return an executed declaration and release within the specified timeframe, the prize may be forfeited and an alternate Winner may be selected. Receipt of the prize by the Winner is conditioned upon compliance with any and all federal, state, and local laws and regulations. IF THE WINNER VIOLATES ANY OF THESE RULES, THE WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

  • The Winner shall be notified by Instagram direct message within five days following Winner selection.

9) Rights Granted by You: By entering the Contest you understand and agree that Ori, any individual acting on Ori’s behalf, and the licensees, successors, and assigns of Ori shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, your submission, name, photo, portrait, voice, likeness, image, statements about Ori, the Contest, and the prize, and your biographical information, for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration.

10) Terms & Conditions: In its sole discretion, Ori reserves the right to modify, suspend, cancel, or terminate the Contest should non-authorized human intervention, a bug or virus, fraud, or other causes beyond the Ori’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Contest. Ori, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) the action taken by Ori. Individuals who tamper with or attempt to tamper with the operation or entry process of the Contest or violate these Rules will be disqualified by Ori, in its sole discretion. In its sole discretion, Ori has the right to maintain the integrity of the Contest, to void votes for any reason, including, but not limited to: multiple entries from the same user, or the use of bots, macros, scripts or similar techniques. Attempts by any entrant to deliberately damage any website, social media platform or undermine the legitimate operation of the Contest may be a violation of criminal and/or civil laws. If any such attempt is made, Ori reserves the right to refer the matter to appropriate authorities and/or seek redress , including damages to the fullest extent permitted by law.

11) Limitation of Liability: Your Contest entry constitutes your agreement to release and hold harmless Ori, its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, and its and their respective directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Contest, including, without limitation: (i) Winner accepting, possessing, using, or misusing any awarded prize or any portion thereof; (ii) any type of technical failure; (iii) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (iv) unauthorized intervention in any part of the entry process or the Contest; and (v) electronic error or human error in the Contest administration or the processing of entries. 

12) Disputes: THIS CONTEST IS GOVERNED BY THE LAWS OF THE UNITED STATES AND NEW YORK STATE WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. You agree, as a condition of participating in this Contest, that if any disputes cannot be resolved between the you and the Sponsor, and if causes of action arise out of or are connected with this Contest, they shall be individually resolved exclusively before a court located in New York having jurisdiction, without resorting to any form of class action. Under no circumstances in any such dispute shall you be permitted to obtain awards for, and hereby waive all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than your actual out-of-pocket expenses associated with your Contest entry (i.e., actual costs associated with entering this Contest). You waive all rights to have damages multiplied or increased.

14) Winner’s Name: You may obtain a copy of the Winner’s name or a copy of these Rules, by sending your request via mail with a stamped, self-addressed envelope to: Ori, Inc., 12 Channel Street, Suite 202, Boston, MA 02210. Requests must be postmarked no later than the earlier of 10 days following the Entry Period and five days following selection of the Winner.

  • “We want you to live with the space (and life) changing Cloud Bed in the NYC Ori Experience Studio located in the Hudson Yards neighborhood for two nights. Experience how the Cloud Bed effortlessly transforms one room into two!” #effortlesstransformation
